1. General Provisions

This Public Agreement defines the terms of use of the website and the procedure for interaction between the company (hereinafter the “Supplier”) and an individual or legal entity contacting the company to purchase goods or receive consulting services (hereinafter the “Customer”).

Submitting a request through the website, by email, by phone, or by any other available means confirms that the Customer has reviewed the terms of this Agreement. The final delivery terms, product range, prices, quantities, and time frames are agreed upon separately by the parties.

2. Subject of the Agreement

The Supplier sells and provides consulting support regarding textile raw materials and supplies, including natural, synthetic, and blended fibers, yarns, fabrics, and other textile components for manufacturing needs.

A request submitted through the website is an inquiry for information or a commercial proposal and does not create an obligation to purchase goods until the material terms of the order have been agreed upon.

3. Order Placement and Fulfillment

1. The Customer provides current contact details and the information required to select materials and prepare a proposal.
2. The Supplier clarifies the technical requirements, product specifications, and required quantities and prepares a customized commercial proposal.
3. The product range, quantity, price, delivery schedule, payment terms, and other parameters are specified in an invoice, contract, specification, or correspondence agreed upon by the parties.
4. An order is deemed accepted after all material terms have been agreed upon and, where applicable, the required payment has been received.

4. Rights and Obligations of the Parties

The Supplier undertakes to provide accurate product information, fulfill the agreed delivery terms, and notify the Customer of any circumstances that may affect the timing or parameters of order fulfillment.

The Customer undertakes to provide the necessary technical requirements, approve the order terms in a timely manner, and accept the goods in accordance with the agreed parameters.

5. Price and Payment Procedure

Prices shown on the website, if any, are for informational purposes and may vary depending on the type of material, order volume, market conditions, and production and delivery terms.

The final price, payment procedure, and payment deadlines are specified in the customized commercial proposal or documents agreed upon by the parties.

6. Liability of the Parties

The parties are liable in accordance with the laws of Ukraine and the agreed order terms.

The Supplier is not liable for delays or inability to perform its obligations caused by the actions of third parties, changes in market conditions, transportation restrictions, supplier disruptions, or other force majeure circumstances.

7. Personal Data

By submitting an inquiry through the website, the Customer consents to the processing of contact details for handling the request, preparing a commercial proposal, and conducting business communications.

Personal data is used in accordance with the laws of Ukraine and is not disclosed to third parties except where necessary to fulfill an order or as required by law.

8. Intellectual Property

The informational materials, design, texts, images, and other website elements belong to the Supplier or are used by the Supplier on lawful grounds.

Copying, distributing, or using website materials without the copyright holder’s prior written consent is prohibited except as permitted by law.

9. Dispute Resolution

The parties shall make every effort to resolve potential disputes through negotiation and mutual agreement.

If no agreement can be reached, the dispute shall be resolved in accordance with the applicable laws of Ukraine.

10. Term and Amendments

This Public Agreement takes effect upon publication on the website and remains in force until a new revision is published.

The updated revision applies to new inquiries and orders. Deliveries already agreed upon remain subject to the terms approved by the parties when the order was placed.
